Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Connectivo website and the Connectivo Accessibility Platform. Where a signed master agreement or order form exists between you and Connectivo, that agreement controls and these Terms supplement it to the extent not inconsistent.

1. Acceptance

By accessing our website or using the Platform, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the service. You must be at least 18 years of age, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract to use the Services.

2. Definitions

“Connectivo,” “we,” or “us” means Connectivo, Inc. “Customer,” “you,” or “your” means the organization or individual using the service. “Platform” means the Connectivo Accessibility Platform and its modules (Discover, Scan, AI Remediation, Proxy, Governance, LMS). “Customer Data” means data provided by or on behalf of Customer, and content processed through the Platform.

3. The service

The Platform scans for, generates remediations for, and helps maintain digital accessibility across web content, documents, and media. Connectivo grants Customer a non-exclusive, non-transferable, revocable right to access and use the Platform during the subscription term, solely for Customer’s internal business purposes and subject to these Terms and any order form. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

4. Accounts & eligibility

You are responsible for maintaining the confidentiality of account credentials and for activity under your account. The service is intended for organizations and their authorized users, not for individuals under the age of majority. Notify us promptly of any unauthorized use at [email protected].

5. Acceptable use

You agree not to:

  • use the service unlawfully or to infringe others’ rights;
  • scan or remediate properties you are not authorized to manage;
  • attempt to gain unauthorized access to, disrupt, or reverse-engineer the service (except to the extent such restriction is prohibited by law);
  • introduce malware;
  • resell or provide the service to third parties except as expressly permitted; or
  • exceed documented rate limits or use the service to build a competing product.

6. Customer responsibilities

You represent that you have the right and authority to submit Customer Data and to authorize Connectivo to scan, process, and remediate the properties you configure. You are responsible for the accuracy and legality of Customer Data and for obtaining any necessary consents. You retain responsibility for reviewing and approving remediations where your chosen workflow requires it.

7. Intellectual property

Connectivo and its licensors own all rights in the Platform, including its patent-pending technology, software, models, and documentation. Connectivo® is a registered trademark of Connectivo, Inc. As between the parties, Customer retains all ownership of Customer Data, including inputs, outputs, and metadata. You grant Connectivo a limited license to process Customer Data solely to provide and support the service. Feedback you provide may be used by Connectivo without restriction.

8. Data protection & privacy

Our handling of personal information is described in our Privacy Policy, and our processing of Customer personal data on your behalf is governed by our Data Processing Addendum, which is incorporated by reference where applicable. Security controls are described in our Security & Trust Overview. If you process personal data of third parties through the Services (for example, website visitors whose accessibility data is scanned), you represent that you have all necessary rights and consents to do so.

9. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with the Services, using at least the same degree of care it uses to protect its own confidential information. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.

10. Fees & billing

Fees, subscription terms, and usage limits are set out in the applicable order form or plan. Unless stated otherwise, fees are non-refundable and exclusive of taxes, and you are responsible for taxes associated with your use of the Services, excluding taxes based on Connectivo’s net income. Unless cancelled before the renewal date, subscriptions automatically renew at the end of each billing cycle.

11. Warranties & disclaimers

We will provide the service with reasonable skill and care and in accordance with our published documentation. Connectivo will contractually commit to meeting WCAG 2.1 AA for the Platform where agreed in an order form. Except as expressly stated, the service is provided “as is” and “as available,” and Connectivo disclaims all other warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Automated accessibility technology assists with, but does not on its own guarantee, legal compliance; human review is recommended for high-risk content.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and each party’s aggregate liability arising out of these Terms is limited to the amounts paid or payable for the service in the twelve (12) months preceding the claim. Nothing limits liability that cannot be limited by law.

13. Indemnification

Each party will defend and indemnify the other against third-party claims to the extent arising from its breach of these Terms or violation of law, subject to prompt notice, cooperation, and control of the defense, as further detailed in the applicable master agreement.

14. Term & termination

These Terms apply while you use the service or during any subscription term. Either party may terminate for material breach not cured within thirty (30) days of notice. On termination, your right to use the service ends; you may export Customer Data, and Connectivo will delete Customer Data within 90 days by cryptographic erasure, except as required by law. In the event of imminent cessation of the service, Connectivo will provide at least 90 days for customers to extract data.

15. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in California, except where a customer’s governing agreement or applicable public-institution law requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new “last updated” date and, where required, communicated to customers. Continued use after changes take effect constitutes acceptance.
